THE CONSULTATION AGREEMENT ADDENDUM

Sagecrest Communications, LLC
Effective Date: 2/22/2026

This Consultation Agreement Addendum (“Agreement”) applies to all strategic consultation services provided by Sagecrest Communications, LLC (“Company”), operated by Ashleigh Santana.

By booking a consultation, the Client agrees to the following:

1. Scope of Consultation

The Consultation is a strategic advisory session designed to:

  • Evaluate current marketing structure, positioning, or operations

  • Provide directional recommendations

  • Identify gaps, friction points, or opportunities

  • Deliver strategic guidance in roadmap format (when applicable)

The Consultation is advisory in nature and does not include implementation unless separately contracted.

2. Pre-Meeting Materials

Client agrees to:

  • Provide accurate and complete information in any pre-meeting questionnaire

  • Submit requested materials at least 48 hours in advance

Strategic recommendations are based on the information provided. Incomplete or inaccurate submissions may impact the depth or accuracy of recommendations, or may result in needing to utilize the client’s one complimentary reschedule.

3. No Guarantee of Results

The Consultation provides professional strategic guidance. However:

  • Marketing outcomes vary

  • Revenue, growth, or performance improvements are not guaranteed

  • Implementation and execution remain the responsibility of the Client

The Company makes no guarantees regarding business results.

4. Strategic Nature of Services

Client acknowledges that the Consultation is designed to provide perspective, structure, and strategic clarity. It is not intended to replace internal decision-making, legal review, or financial analysis.

5. Payment and Refund Policy

All Consultation fees are:

  • Due at time of booking confirmation

  • Non-refundable

6. Rescheduling Policy

A minimum of 24-hour notice is required to reschedule.

  • One complimentary reschedule is permitted.

  • Additional reschedules may be subject to a fee.

  • Failure to attend without notice may result in forfeiture of the session.

Rescheduling is subject to availability.

7. Deliverables and Intellectual Property

All materials provided, including but not limited to:

  • Strategy documents

  • Roadmaps

  • Frameworks

  • Written analysis

  • Custom recommendations

Remain the intellectual property of Sagecrest Communications, LLC.

Client is granted a non-transferable license to use deliverables internally within their organization.

Client may not:

  • Resell materials

  • Share outside their organization

  • Republish proprietary frameworks

  • Claim ownership of methodology

8. Recording Policy

Consultations may not be recorded without written permission from the Company.

If the Company provides a recording, it is for internal use only and may not be redistributed.

9. Confidentiality

All information shared by the Client during the Consultation will be treated as confidential and will not be disclosed except:

  • As required by law

  • As necessary to provide services

10. Limitation of Liability

To the fullest extent permitted by law, the Company’s liability shall not exceed the amount paid for the Consultation.

The Company shall not be liable for indirect, incidental, or consequential damages.

11. Independent Contractor Status

The Consultation does not create a partnership, joint venture, employment, or agency relationship.

12. Governing Law

This Agreement shall be governed by the laws of the State of Nevada.

Any disputes shall be resolved in Nevada.
